Breevy

Terms of Use

Last Updated: October 24, 2026

These Terms of Use ("Terms") are a contract between Breevy, Inc., a Delaware corporation ("Breevy," "we," "us" or "our"), and the business or professional that creates an account or uses Breevy ("you"). They govern the Breevy website at breevy.ai, the Breevy app and its AI agents, integrations, APIs and related services (together, the "Service"). By creating an account, accepting these Terms in the app or using the Service, you agree to them. If you use Breevy for a company or other organization, you confirm that you are authorized to accept these Terms for it, and "you" means that organization.

THESE TERMS CONTAIN AN AGREEMENT TO RESOLVE DISPUTES BY INDIVIDUAL BINDING ARBITRATION AND A WAIVER OF CLASS ACTIONS AND JURY TRIALS (SECTION 19). PLEASE READ THEM CAREFULLY.

1. Who May Use Breevy

1.1 Business use only. Breevy is built for businesses and professionals. You confirm that you use the Service for your trade, business, craft or profession, and not as a consumer for personal, family or household purposes. If mandatory consumer-protection law applies to you anyway, nothing in these Terms limits the rights that law gives you.

1.2 Age and capacity. You must be at least 18 years old and able to enter into a binding contract.

1.3 Sanctions and export control. You may not use the Service if you are located in, organized under the laws of or ordinarily resident in a country or region subject to comprehensive US sanctions (currently Cuba, Iran, North Korea, and the Crimea, so-called Donetsk People's Republic and so-called Luhansk People's Republic regions of Ukraine), if you appear on a US or other applicable restricted-party list, or if providing the Service to you is otherwise prohibited by US, EU or other applicable sanctions or export laws. You will not use the Service to export or transfer anything in violation of those laws.

1.4 Earlier terminations. You may not create a new account if we previously terminated yours for breaching these Terms, unless we agree in writing.

2. Definitions

2.1 "Agent" means an AI system within the Service that researches, analyzes, writes, plans or acts on your behalf.

2.2 "Agent Action" means an action an Agent takes in a Connected Service, such as publishing or updating content on your website, applying an on-page fix, submitting a sitemap, posting to or replying on a Business Profile, sending a message or calling a tool.

2.3 "Automation Level" means the setting that controls which Agent Actions run on their own and which wait for your approval.

2.4 "Automation" means a scheduled or triggered run of an Agent, including runs started by webhooks or by connected tools such as Slack, Zapier, Make, monday.com or HubSpot.

2.5 "Connected Service" means a third-party account, website or tool you connect to Breevy, such as Google Search Console, Google Analytics 4, Google Business Profile, WordPress, Shopify, Wix, Semrush, Ahrefs, an email account, Slack, a webhook or an MCP server.

2.6 "Customer Content" means everything you or your team submit to the Service or let it access, including prompts, instructions, files, links, brand and business information, and data retrieved from your Connected Services.

2.7 "Output" means content the Service generates for you, such as answers, articles, plans, keyword lists, reports, drafts and suggested changes.

2.8 "Credits" means the prepaid units used to pay for AI work and certain actions in the Service.

2.9 "Organization" means a team account with members. "Workspace" means a project space for a brand, website or client within an account.

3. Your Account and Team

3.1 Accurate information. Keep your account information accurate and your sign-in credentials secure. You are responsible for all activity under your account. Tell us promptly at support@breevy.ai if you believe your account has been used without authorization.

3.2 Organizations. An Organization's owner and admins control its Workspaces, members, roles, seats, billing and settings, and can see and manage content in the Organization's Workspaces. Content that members create in an Organization's Workspaces belongs to the Organization. You are responsible for your members' use of the Service.

3.3 Seats. Each seat is for one named person. Seats and sign-in credentials may not be shared.

3.4 Clients. If you use Breevy to serve your own clients, you are responsible for obtaining their authorization, for the instructions you give on their behalf and for your agreements with them. We have no contract with your clients.

4. The Service

4.1 Right to use. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your subscription for your business purposes, including to provide services to your own clients.

4.2 AI models. The Service uses AI models from third-party providers, currently including Anthropic, OpenAI and Google, and may route a request to the model best suited to it (for example, with "Auto"). Model availability, capabilities and limits change over time, and we may add, replace or remove models.

4.3 Changes. We continually improve the Service and may add, change or remove features. If a change materially reduces the Service you have paid for, you may cancel your subscription before your next renewal.

4.4 Beta features. Features labeled beta, preview or experimental are provided as is, may change or end at any time and are excluded from any commitment we make about the Service.

4.5 Availability. We work to keep the Service available but do not promise that it will be uninterrupted or error-free. The Service depends on third parties, including AI model providers, cloud and data providers and your Connected Services, whose outages and changes are outside our control.

5. Agents and Actions in Your Connected Services

5.1 Authorization. When you connect a Connected Service, you authorize Breevy and its Agents to access it with the permissions you grant and, within your Automation Level and approvals, to take Agent Actions in it on your behalf. Breevy acts only as your limited agent to carry out your instructions. You confirm that you own each connected account, website, property and profile, or are authorized by its owner to connect it and to let Breevy act in it.

5.2 Automation Levels. You decide how much Agents may do on their own:

5.3 Google Business Profile. Whatever your Automation Level, replies to reviews, changes to listing details and posts on a Google Business Profile always wait for your approval.

5.4 Approvals are your instructions. Approving a proposed change, choosing an Automation Level, setting a standing approval for a type of action or scheduling an Automation is your instruction to take the corresponding Agent Actions.

5.5 Your responsibility. You are responsible for your Automation Level, approvals and Automations, and for the Agent Actions taken under them, including content published, changes made to your sites and listings, messages sent and charges incurred with third parties. Review proposed changes before you approve them. Approval screens and safety checks help, but they cannot catch every mistake or reverse an action already completed. Keep your own backups of your websites and content. Breevy keeps a record of the changes it makes and, where a platform allows, may help restore a previous version, but we do not guarantee that restoring is possible.

5.6 Automations and untrusted content. Automations run under the Automation Level you set, use Credits and continue until you pause or delete them. Agents read web pages, search results, documents and messages that may contain instructions designed to manipulate AI systems. We use safeguards, but we cannot prevent every such attempt, so keep approvals on for sensitive actions.

5.7 Third-party terms. Your use of each Connected Service remains subject to its own terms and policies, such as those of Google, Shopify, Wix and WordPress. You are responsible for complying with them, including Google's search spam policies and Business Profile policies. We are not responsible for a Connected Service's availability, changes or fees, or for any action it takes against your account.

5.8 Disconnecting. You can disconnect a Connected Service in Breevy, or revoke Breevy's access in the Connected Service itself. After you disconnect, Agents stop acting in that service, although an action already in progress may complete. We then delete our copy of your credentials for that service, ask the platform to revoke our access where it allows it and no other connection in your workspaces relies on the same account, and delete the data synced from that service within 30 days, as described in our Privacy Policy. Pause or delete any Automation that depends on it.

5.9 Tools you add. If you connect an MCP server, webhook or other external tool, Agents send it the data needed for the tool calls you enable. Those tools are your choice and your responsibility.

5.10 Memory. Agents keep notes, preferences, rules and records of past work within a Workspace to improve their results. This memory is part of your Customer Content and is deleted with the Workspace.

6. Customer Content and Output

6.1 Ownership. As between you and Breevy, you own your Customer Content and, to the extent the law allows, your Output. We assign to you any rights we have in Output.

6.2 Our license. You grant Breevy a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Content and Output only as needed to provide, secure and support the Service for you, as described in our Privacy Policy and in Section 13. This includes sending it to our subprocessors, such as AI model providers, to perform your requests.

6.3 No training. We do not use Customer Content or Output to train or fine-tune AI models, whether ours or our providers'. We use AI providers under business terms that do not allow them to train their models on the data we send. We may use aggregated, de-identified information about how the Service is used, such as feature usage, performance and error rates, to operate and improve the Service.

6.4 Your rights and responsibilities. You are responsible for your Customer Content and for how you use Output. You confirm that you have all rights and permissions needed to submit Customer Content and to let us process it, including any personal data it contains.

6.5 Nature of AI Output. Output is generated by AI and may be inaccurate, incomplete, out of date, biased or similar to content generated for others. It is not legal, financial, medical or other professional advice. Review, edit and fact-check Output before you rely on it or publish it. You are responsible for the Output you publish or use, including its claims, citations and use of trademarks, and for its compliance with advertising and consumer-protection laws.

6.6 AI transparency. Where the law or a platform's rules require it, you are responsible for disclosing that content you publish was generated or edited with AI. Examples include the EU AI Act's rules on deep fakes and on AI-generated text published to inform the public on matters of public interest, and Google Merchant Center's rules on AI-generated product data. Do not remove or alter any marking or provenance information that Breevy or its providers attach to Output to identify it as AI-generated.

6.7 Search engines. Breevy does not control search engines, AI assistants or other platforms. You are responsible for complying with their policies. We may limit or decline high-volume generation or publishing that we reasonably believe violates those policies or Section 7.

7. Acceptable Use

7.1 These rules apply to you, to your team and to everything Agents do on your instructions.

7.2 Illegal, harmful and abusive content. Do not use the Service to create, publish or send content, or to take actions, that:

7.3 Deceptive marketing. Do not use the Service to:

7.4 Search engines and platforms. Do not use the Service to:

7.5 Email and outreach. If you send outreach through Breevy, including with its link-building features, you are the sender of your messages, and you must:

7.6 Personal data. Do not:

7.7 AI use. The usage policies of our AI providers also apply to your use of the Service, including those of Anthropic (https://www.anthropic.com/legal/aup), OpenAI (https://openai.com/policies/usage-policies) and Google (https://policies.google.com/terms/generative-ai/use-policy). Do not:

7.8 Service integrity. Do not:

7.9 Enforcement and reporting. We may investigate suspected violations and, depending on their severity, decline or reverse an action, remove content from the Service, limit features, suspend or terminate accounts and report unlawful activity to the authorities. Where reasonable, we will give notice first. To report a violation, email support@breevy.ai.

8. Plans, Credits and Billing

8.1 Plans and prices. Subscription plans, team seats, their prices and the Credits they include are described on our Pricing page and at checkout. Prices are in US dollars and do not include taxes. Annual plans are billed upfront at the discounted annual price.

8.2 Credits. Credits pay for AI work and certain actions. Agent work uses Credits based on the models used and the amount of work performed, and fixed-price actions, such as keyword research, rank checks and page scans, use the amounts shown in the app. Credits are used when work runs, including work whose result does not meet your expectations.

8.3 Credit allocation. Each paid billing period includes the Credit allocation of your plan and seats. The allocation resets at the start of each period, and unused Credits do not carry over.

8.4 Signup and bonus Credits. New accounts may receive a one-time allocation of Credits, available once per person and once per organization. We may decline or withdraw it where we reasonably suspect abuse, such as repeated sign-ups. We may also grant bonus Credits, for example for referrals, as described in the app.

8.5 When a subscription ends. When your subscription ends, whether you cancel it or it is not renewed, all remaining Credits end with it, including plan, signup and bonus Credits.

8.6 No cash value. Credits have no cash value and cannot be transferred, sold or refunded.

8.7 On-demand usage. If you turn on on-demand usage, work beyond your Credits is billed at the rate shown on our Pricing page, up to the spending limit you set. We currently charge on-demand usage when the amount due reaches $20, and settle any remaining amount of $0.50 or more daily.

8.8 Automatic renewal. Your subscription renews automatically at the end of each monthly or annual period, at the then-current price for your plan and seats, until you cancel. By subscribing, you authorize Breevy and our payment processor, Stripe, to charge your payment method for each period and for on-demand usage.

8.9 Cancel anytime. You can cancel online in Billing or by emailing support@breevy.ai. Cancellation takes effect at the end of the current paid period, and you keep access until then.

8.10 No refunds. Fees are non-refundable, including for partial periods, unused Credits and downgrades, except where the law requires otherwise or these Terms say otherwise.

8.11 Changes to your plan. Upgrades take effect immediately and are charged pro rata. Downgrades take effect at your next renewal. Adding or removing a seat changes your recurring charge from that point in the billing cycle.

8.12 Price changes. We will email you at least 30 days before a price increase applies to your subscription. The new price applies from your first renewal after that notice period, and you can cancel before it applies.

8.13 Failed payments. If a payment fails, we retry it for up to 14 days. If it still fails, your account becomes read-only after a further 7-day grace period, until the amount due is paid.

8.14 Taxes. You are responsible for all taxes, duties and levies on your purchases, other than taxes on Breevy's income.

8.15 Disputed charges. Please contact us before disputing a charge with your bank. While a charge is disputed, we may freeze the related Credits, and if a payment is reversed or refunded, we remove the Credits it paid for.

8.16 Agency services. If you engage Breevy to perform agency services, such as SEO work done by our team, the scope, fees and timeline are set out in a separate proposal or order. These Terms apply to anything that proposal or order does not cover.

9. Term, Suspension and Termination

9.1 Term. These Terms apply from the moment you accept them until your account is closed.

9.2 Closing your account. You may stop using the Service at any time. To delete your account, email support@breevy.ai. Paid subscriptions are cancelled as described in Section 8.9.

9.3 Suspension and termination by Breevy. We may suspend or terminate your access, in whole or in part, if you breach these Terms, fail to pay, create a risk to the security or integrity of the Service or to others, or if the law requires it. Where reasonable, we will give you notice and a chance to fix the problem first. We may also terminate your subscription for any reason by giving you 30 days' notice, in which case we will refund the prepaid fees for the unused part of your billing period.

9.4 Effect of termination. When your account ends, your right to use the Service ends. We delete Customer Content within 90 days, unless the law requires us to keep it. Before your account ends, you may ask us for a copy of your data in a commonly used format.

9.5 Switching and data export for EU business customers. If you are a business customer in the European Union, you may ask us to help you switch to another provider or to your own systems. You may give notice of switching of up to two months. During a transition period of up to 30 days, we will make your exportable data available in structured, commonly used, machine-readable formats. Exportable data includes your account details, Workspaces and projects, documents and drafts, chat history, keyword and project data, Credit history and information about your Connected Services. We will keep it available for at least 30 days after the transition and then erase it. We do not charge for switching. Our infrastructure runs in the United States.

9.6 Survival. Sections 6, 8 (for amounts owed), 9.4, 10, 11 and 13 to 21 survive termination.

10. Confidentiality

10.1 Each party will protect the other's non-public information that is marked confidential or that a reasonable person would understand to be confidential, will use it only to perform under these Terms and will share it only with people who need to know it and are bound by similar duties.

10.2 These duties do not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed or is lawfully received from a third party. A party may disclose confidential information when the law requires it, after giving notice where legally permitted.

11. Intellectual Property

11.1 Breevy's property. Breevy and its licensors own the Service, including its software, design, documentation and trademarks. These Terms grant you no rights in them except the right to use the Service described in Section 4.1.

11.2 Restrictions. You may not copy, modify, reverse engineer or decompile the Service, resell or rent access to it, or use it to build a competing product, except as the law expressly allows.

11.3 Feedback. If you send us feedback or suggestions, we may use them without restriction or payment to you.

11.4 Publicity. We will not identify you as a customer, or use your name or logo in our marketing, without your permission.

11.5 Copyright complaints. We respond to notices of claimed copyright infringement under the US Digital Millennium Copyright Act. If you believe that content stored in or published through the Service infringes your copyright, send a notice to our copyright agent at support@breevy.ai with "Copyright notice" in the subject line. Your notice must include:

11.6 Counter-notices and repeat infringers. If we remove or disable content because of a notice, we will tell the customer concerned, who may send a counter-notice as the Digital Millennium Copyright Act allows. Where the content is on a customer's own website, we will pass the notice to that customer. We terminate, in appropriate circumstances, the accounts of customers who repeatedly infringe.

12. Third-Party Services and Data

12.1 Third-party services. The Service relies on third parties, including AI model providers, data providers, Stripe for payments and Intercom for support. Their services are governed by their own terms, and we are not responsible for them.

12.2 Search and market data. Search, keyword, backlink and similar data comes from third-party providers, is provided for your own analysis and may contain estimates or errors. You may not resell it as a dataset, use it to build a competing product or data service, or use it to compete with or harm the search engines it comes from.

13. Privacy and Data Processing

13.1 Our Privacy Policy explains how we handle personal information as a controller, including information about your account, billing and use of the Service.

13.2 Scope and definitions. The rest of this Section applies when Breevy processes Customer Personal Data to provide the Service. In it:

13.3 Roles. You are the controller of Customer Personal Data, or a processor acting for your own clients, and Breevy is your processor or service provider (or, where you are a processor, your subprocessor). Section 13.16 describes the processing.

13.4 Your instructions. Breevy processes Customer Personal Data only on your documented instructions, unless the law requires otherwise, in which case Breevy will inform you first where legally permitted. Your instructions are these Terms, your configuration and use of the Service (including the Agent Actions you approve or allow through your Automation Level) and any other written instructions Breevy agrees to. Breevy will tell you if it believes an instruction infringes Data Protection Laws.

13.5 Your responsibilities. You are responsible for having a lawful basis, and for giving any notices needed, for Breevy to process Customer Personal Data.

13.6 Confidentiality and security. Breevy ensures that the people it authorizes to process Customer Personal Data are bound by confidentiality obligations, and implements the technical and organizational measures described in Section 11 of our Privacy Policy. Breevy may update those measures if the overall level of protection is not reduced.

13.7 Assistance. Taking into account the nature of the processing, Breevy will reasonably help you respond to data subjects' requests and meet your obligations on security, breach notification, data protection impact assessments and prior consultations. If Breevy receives a request from a data subject about Customer Personal Data, it will refer the data subject to you.

13.8 Subprocessors. You authorize Breevy to engage Subprocessors. The current list is in Section 5.3 of our Privacy Policy. Breevy will give you at least 30 days' notice, by email to the account owner, before a new Subprocessor begins processing Customer Personal Data. You may object on reasonable data protection grounds within that period. If the parties cannot resolve the objection, you may terminate the affected part of the Service without penalty. Breevy imposes on each Subprocessor data protection obligations no less protective than those in this Section, and remains responsible for its Subprocessors' performance.

13.9 Security Incidents. Breevy will notify you without undue delay, and in any event within 72 hours, after becoming aware of a Security Incident affecting Customer Personal Data. The notice will describe, to the extent known, the incident, the data affected, its likely consequences and the measures taken, and Breevy will provide more information as it becomes available. Breevy will take reasonable steps to contain the incident and reduce its effects. Notifying you is not an admission of fault.

13.10 Deletion. Breevy deletes Customer Personal Data as described in Sections 5.8 and 9.4, unless the law requires it to keep the data.

13.11 Audits. Breevy will make available to you the information reasonably needed to demonstrate compliance with this Section. If that information is not enough, you may, no more than once a year and on at least 30 days' written notice, audit Breevy's compliance through an independent auditor bound by confidentiality, at your cost, during business hours and without unreasonably disrupting Breevy's operations. Additional audits are allowed after a Security Incident or when a supervisory authority requires one.

13.12 International transfers. Breevy processes Customer Personal Data in the countries described in Section 8 of our Privacy Policy. Where Customer Personal Data is transferred from the European Economic Area to a country without an adequacy decision, the Standard Contractual Clauses adopted by Commission Implementing Decision (EU) 2021/914 are incorporated into these Terms: Module Two where you are a controller, and Module Three where you are a processor. For those clauses, the optional docking clause (Clause 7) applies; Option 2 of Clause 9 applies, with the notice period in Section 13.8; the optional wording in Clause 11 does not apply; the supervisory authority under Clause 13 is the one competent for you; Clauses 17 and 18 select the law and courts of Ireland; and Section 13.16 and Section 11 of our Privacy Policy complete Annexes I and II of the clauses. For transfers from the United Kingdom, the International Data Transfer Addendum issued by the UK Information Commissioner applies, completed with the information in this Section. For transfers from Switzerland, the Standard Contractual Clauses apply with the necessary adaptations, and references to the GDPR are read as references to the Swiss Federal Act on Data Protection. If the Standard Contractual Clauses conflict with these Terms, the Standard Contractual Clauses prevail.

13.13 US state privacy laws. To the extent US state privacy laws apply, Breevy acts as your service provider or processor. Breevy will not sell or share Customer Personal Data; retain, use or disclose it for any purpose other than providing the Service, or outside its direct business relationship with you; or combine it with personal data from other sources, except as those laws permit. Breevy will comply with those laws, provide the level of protection they require and notify you if it can no longer meet its obligations, and you may take reasonable steps to stop and remediate any unauthorized use.

13.14 Israeli law. Where Israel's Privacy Protection Law applies, Breevy will process Customer Personal Data only for the purposes and to the extent described in this Section, keep it secure and confidential as described in Section 13.6, report Security Incidents as described in Section 13.9 and delete it as described in Section 13.10.

13.15 Liability. Each party's liability under this Section is subject to Section 15, except where Data Protection Laws do not allow it.

14. Disclaimers

14.1 THE SERVICE, OUTPUT AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, BREEVY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY.

14.2 BREEVY DOES NOT GUARANTEE ANY RESULT, INCLUDING RANKINGS, TRAFFIC, VISIBILITY IN SEARCH ENGINES OR AI ASSISTANTS, LEADS OR REVENUE. SEARCH ENGINES AND PLATFORMS CHANGE THEIR SYSTEMS AND POLICIES WITHOUT NOTICE, AND RESULTS DEPEND ON FACTORS OUTSIDE OUR CONTROL. SEARCH VOLUMES, DIFFICULTY SCORES, FORECASTS AND SIMILAR FIGURES ARE ESTIMATES.

15. Limitation of Liability

15.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THEIR POSSIBILITY.

15.2 TO THE FULLEST EXTENT PERMITTED BY LAW, BREEVY'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID BREEVY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$100.

15.3 BREEVY IS NOT LIABLE FOR THE CONSEQUENCES OF AGENT ACTIONS THAT YOU APPROVED OR ALLOWED THROUGH YOUR AUTOMATION LEVEL, STANDING APPROVALS OR AUTOMATIONS, EXCEPT TO THE EXTENT CAUSED BY BREEVY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

15.4 THE LIMITS IN THIS SECTION DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR INDEMNITY OBLIGATIONS, YOUR BREACH OF SECTION 7, EITHER PARTY'S FRAUD OR WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.

15.5 Any claim relating to the Service or these Terms must be brought within one year after it arises, unless the law requires a longer period.

16. Indemnification

16.1 You will defend Breevy and its officers, directors, employees and agents against any third-party claim arising from your Customer Content, the Output you publish or use, Agent Actions taken under your approvals, Automation Level or Automations, your use of Connected Services, your outreach messages, your breach of these Terms, or your violation of law or of anyone's rights, and you will pay the damages, costs and reasonable attorneys' fees finally awarded or agreed in settlement.

16.2 We will notify you promptly of any claim, let you control the defense and give reasonable help at your expense. You may not settle a claim in a way that imposes obligations on Breevy without our written consent.

17. Changes to These Terms

17.1 We may update these Terms. We will email the account owner at least 30 days before a material change takes effect and post the updated Terms with a new "Last updated" date. Changes required by law, or that concern new features, may take effect sooner.

17.2 If you continue to use the Service after a change takes effect, the updated Terms apply to you. If you do not agree to a change, you may cancel before it takes effect.

17.3 If you accepted an earlier version of these Terms, this version applies to you 30 days after we email you about it, or earlier if you accept it in the app.

18. Notices

18.1 We may send you notices by email to your account's email address or in the app. You agree to receive agreements, notices and other communications from us electronically.

18.2 Send legal notices to support@breevy.ai with "Legal notice" in the subject line.

19. Dispute Resolution, Arbitration and Class Action Waiver

19.1 Informal resolution first. Before starting an arbitration or a court case, the party with a dispute must send the other a written notice describing it and the relief sought, and the parties will try in good faith to resolve it for 30 days.

19.2 Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The seat of arbitration is Wilmington, Delaware, and hearings may take place by video. The Federal Arbitration Act governs this Section 19. Judgment on the award may be entered in any court with jurisdiction.

19.3 CLASS ACTION AND JURY WAIVER. YOU AND BREEVY MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF DIFFERENT CUSTOMERS. YOU AND BREEVY WAIVE ANY RIGHT TO A JURY TRIAL.

19.4 Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek an injunction or other equitable relief in court to stop the actual or threatened infringement or misuse of its intellectual property, its confidential information or the Service.

19.5 If this Section is unenforceable. If the class action waiver is found unenforceable for a claim, that claim will proceed in the courts described in Section 20 and not in arbitration.

20. Governing Law and Venue

20.1 These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

20.2 Subject to Section 19, the state and federal courts located in Delaware have exclusive jurisdiction, and each party consents to their jurisdiction.

21. General

21.1 Entire agreement. These Terms, together with our Privacy Policy, our Cookie Policy and any proposal or order you sign with us, are the entire agreement between you and Breevy about the Service. If they conflict, a signed proposal or order prevails for its subject matter, and Section 13 prevails for the processing of Customer Personal Data.

21.2 Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets.

21.3 Force majeure. Neither party is responsible for delays or failures caused by events beyond its reasonable control, including failures of AI, cloud or data providers, internet outages, cyberattacks, natural disasters, war, government action or labor disputes. This does not excuse payment obligations.

21.4 Severability and waiver. If any provision is found unenforceable, the rest remains in effect and the provision is enforced to the fullest extent permitted. Our failure to enforce a provision is not a waiver.

21.5 Relationship. The parties are independent contractors. Apart from our limited role as your agent for Agent Actions under Section 5, these Terms create no partnership, joint venture, employment or fiduciary relationship. There are no third-party beneficiaries.

21.6 Language. These Terms are written in English, which controls over any translation.
